My expertise and experience with commercial transactions are the cornerstones of my practice and have earned me a reputation of being a  superb 'deal maker'.  I advise my clients on all aspects of commercial transactions, including NDAs, agency and distribution agreements, supply agreements, manufacturing agreements, reseller agreements, consulting arrangements, R&D agreements, brokerage and finder's fee agreements, license agreements, and agreements involving cooperation and joint ventures. In addition, I have handled numerous investment transactions and capital raising agreements including preparing Term Sheets, Memoranda of Understanding, Investment Agreements, Share Purchase Agreements, Shareholder Agreements, Convertible Financing Agreements, and more.

Recognizing that banking relations and finance are critical to the success of businesses, I have advised my clients on all aspects in these fields, including lending and other banking transactions, private equity and debt funding, Private Placement Memoranda, and governmental programs such as incubator and Chief Scientist funding.  I am also expert in asset based lending and have advised major Israeli companies on asset backed securitizations in an aggregate amount of nearly US$1Bn.

I have also handled numerous and diverse transactions in the fields of mergers and acquisitions, including asset purchase transactions, business divestments, and mergers.  Related to such transactions, I have advised on matters of anti-competition laws and leverage financing.
